B2B TERMS AND CONDITIONS

1. OBJECT AND SCOPE

These General Terms and Conditions govern the commercial relationship between DISTROLUX, S.L. ("Distrolux") and customers purchasing products through distrolux.online.

Distrolux.online is a wholesale platform intended exclusively for businesses, retailers, self-employed professionals and other professional customers purchasing products for purposes related to their trade, business or professional activity.

By registering for an account or placing an order, the customer declares that it is acting as a business or professional and not as a consumer. Distrolux may request information or documentation reasonably necessary to verify a customer's professional or business status before activating an account or accepting an order.

2. REGISTRATION AND CUSTOMER INFORMATION

Customers must provide complete, accurate and up-to-date company, tax, billing, contact and shipping information. The customer is responsible for notifying Distrolux of any changes.

For EU customers, Distrolux may validate VAT identification numbers through VIES or other appropriate means. A valid VAT number alone does not automatically determine the tax treatment of a transaction; the applicable VAT treatment will depend on all legal requirements relevant to the specific supply.

3. MINIMUM ORDER

The minimum order value on distrolux.online is €300, excluding VAT and shipping costs, unless Distrolux expressly agrees otherwise in writing.

4. ORDER PROCESS AND CONTRACT FORMATION

Before submitting an order, the customer will have the opportunity to review the products selected, quantities, prices, applicable taxes where shown, shipping information and other relevant order details and to correct input errors.

By submitting an order, the customer confirms that the information supplied is correct and accepts these B2B Terms and Conditions.

Any automatic email or on-screen message acknowledging receipt of an order only confirms that Distrolux has received the order and does not by itself constitute final acceptance of the order.

The order will be considered accepted by Distrolux when Distrolux expressly confirms acceptance, issues the corresponding definitive order confirmation or invoice, or begins fulfilment of the order, as applicable to the operational process in use.

Distrolux may reject or cancel an order before acceptance where reasonably necessary, including in cases of incorrect price or stock information, inability to supply the products, suspected fraud, invalid customer information, tax/VAT validation issues or other material errors. If payment has already been collected for an order that is not accepted, the corresponding amount will be refunded.

Distrolux will retain electronic records relating to orders in accordance with applicable legal and business requirements.

If a customer identifies an error in submitted information, the customer should contact b2b@distrolux.online as soon as possible. Changes to shipping information cannot be guaranteed once an order has entered fulfilment or has been handed to the carrier.

5. PRICES AND VAT

Prices displayed on distrolux.online are wholesale prices. Unless expressly stated otherwise, displayed wholesale prices are exclusive of VAT and shipping costs.

The VAT treatment applied to an order will be determined according to the customer's billing location, tax status, destination of the goods and the legal requirements applicable to the transaction.

  • Spanish customers: Spanish VAT will be applied where legally required.
  • EU business customers: qualifying intra-Community supplies may be exempt from Spanish VAT where the customer provides a valid VAT identification number and all applicable legal requirements for the exemption are met.
  • Customers outside the European Union: qualifying exports may be exempt from Spanish VAT where the applicable legal requirements are met and the export is properly documented.

Customers are responsible for providing correct tax information. Distrolux may correct the tax treatment of an order where necessary to comply with applicable law.

6. PAYMENT

Available payment methods will be those displayed during checkout or otherwise agreed with Distrolux. Payments may be processed by third-party payment service providers under their own terms and privacy policies.

Distrolux does not represent that it has no access to payment information except to the extent that this is technically true for the payment method concerned.

7. STOCK, BACKORDERS AND PARTIAL FULFILMENT

Product availability shown on the website may change and does not constitute a guarantee of supply until the order is accepted.

Where part of an order is unavailable, delayed, discontinued or awaiting supply from a manufacturer or distributor, Distrolux may, depending on the circumstances and after communicating with the customer where appropriate:

  • reserve or backorder the unavailable units;
  • ship the available products separately or as a partial order;
  • wait until the order can be completed; or
  • cancel the unavailable units and refund any corresponding amount already paid.

8. SHIPPING

Shipping costs are not included in product prices unless expressly stated otherwise. Applicable shipping costs will be shown, calculated or communicated according to destination, weight, volume, carrier and other relevant shipment characteristics.

Delivery dates and transit times are estimates unless Distrolux expressly agrees a binding delivery date in writing. Distrolux will provide shipping or tracking information where available.

The customer is responsible for providing a complete and accurate delivery address and for reasonably monitoring delivery of the shipment.

9. INTERNATIONAL ORDERS, CUSTOMS AND IMPORT CHARGES

For shipments outside the European Union, the customer is responsible for import VAT, customs duties, clearance charges and other taxes or fees imposed by the destination country unless Distrolux expressly agrees otherwise in writing.

Where an Incoterm is expressly stated in an order confirmation, commercial invoice or written agreement, that Incoterm will apply in accordance with the version expressly identified in the relevant document.

10. CANCELLATION, RETURNS AND B2B WITHDRAWAL

Because distrolux.online operates exclusively as a B2B wholesale platform, purchases made by customers acting as businesses or professionals are not subject to the statutory consumer right of withdrawal.

A customer may request cancellation before an order has entered fulfilment or been handed to the carrier. Cancellation is only effective once confirmed by Distrolux.

Returns that are not caused by a defect, shipping damage, an incorrect item sent by Distrolux or another breach attributable to Distrolux require prior written authorisation and may be refused unless otherwise agreed.

If Distrolux sends an incorrect product, or if a product arrives damaged or materially defective, the customer must contact b2b@distrolux.online within a reasonable period after delivery and provide the information reasonably requested to assess the claim.

Where the return is attributable to an error by Distrolux or to a product arriving damaged or materially defective, Distrolux will provide the legally and contractually appropriate remedy, which may include replacement, credit or refund, as applicable.

Unless otherwise agreed, return shipping costs for authorised returns not attributable to Distrolux are borne by the customer.

11. CUSTOMER RESPONSIBILITIES

The customer agrees to use the website and services lawfully, to provide accurate information, to maintain the confidentiality of account credentials and not to infringe the rights or legitimate interests of Distrolux or third parties.

12. INTELLECTUAL AND INDUSTRIAL PROPERTY

All intellectual and industrial property rights in content made available through the website belong to Distrolux or to third parties that have authorised its use. No transfer of intellectual or industrial property rights to the customer is implied by access to the website or purchase of products.

13. PERSONAL DATA AND COMMERCIAL COMMUNICATIONS

Personal data will be processed in accordance with the Privacy Policy available on distrolux.online and applicable data-protection law.

Registration for a B2B account does not by itself require the customer to consent to optional marketing communications. Where consent is required, it must be obtained separately and may be withdrawn at any time. Commercial emails will include an easy means of opting out.

14. APPLICABLE LAW AND JURISDICTION

These Terms and Conditions are governed by Spanish law.

For disputes arising out of or in connection with these B2B Terms and Conditions, the parties submit to the courts and tribunals that are competent under applicable law. Any specific choice-of-court clause agreed with a business customer shall apply only to the extent that it is valid and enforceable under the law applicable to the relationship.

15. SEVERABILITY

If any provision of these Terms and Conditions is declared invalid, illegal or unenforceable, that provision will be deemed severed to the extent necessary and the remaining provisions will continue in force.

How are shipping costs calculated?

Shipping costs are not included in the wholesale product price unless expressly stated otherwise. They are calculated or quoted according to destination, shipment weight and volume, carrier and other relevant logistics factors and will be shown or communicated in connection with the order.

How long will my order take to arrive?

Delivery times depend on product availability, order preparation, destination and carrier. Any delivery or transit times shown or communicated are estimates unless Distrolux expressly confirms a binding delivery date in writing.

What happens if part of my order is unavailable?

If one or more products are unavailable, delayed, discontinued or awaiting supply, Distrolux may reserve the missing units, make a partial shipment, wait until the order can be completed, or cancel and refund the unavailable units, depending on the circumstances.

Can orders be shipped outside Spain?

Yes, subject to availability of the relevant shipping service and compliance with applicable legal and customs requirements. For shipments outside the European Union, import VAT, customs duties and clearance charges are normally the responsibility of the customer unless otherwise agreed in writing.

Can I change the shipping address?

Where the problem is attributable to Distrolux or the product arrives damaged or materially defective, Distrolux will provide the appropriate remedy under the applicable B2B terms.
